Association of Icelandic Musicians
Articles of Association
Art. 1
The name of the association is "Association of Icelandic Musicians" and it is affiliated to the Federation of Icelandic Artists. It is located in Reykjavík, where legal cases relating to it are to be pursued.
Art. 2
The purpose of the association is:
a) To safeguard the interests of the members at all times, for instance by having an influence upon the rates of pay for the work of musicians, and allocation of grants and funding to music.
b) To represent the members with regard to their other interests, as deemed necessary at any time.
c) To promote high standards of musical criticism in the press.
d) To work for collaboration between, and promotion of, members.
Art. 3
Those who fulfil the following conditions have the right to become members:
a) Icelandic and foreign musicians (solo instrumentalists, solo singers, conductors) resident in Iceland have the right to become members, as do Icelandic musicians resident abroad, if they fulfil the following conditions: the individual shall have carried out advanced musical studies, shall have music as his/her principal employment, and shall enjoy clear recognition for it.
b) Applications for membership of the association shall be submitted to the board. These applications shall be submitted to the AGM, and if 50% of those present at a lawful meeting vote in favour in a secret ballot, the application is accepted.
Art. 4
The annual fee shall be decided at the AGM. Should a member not pay his/her annual fee before the AGM, he/she cannot vote until the debt to the association has been paid. Should a member neglect for two full years to pay his/her membership fee, he/she is no longer regarded as a member.
Art. 5
The board of the association comprises five members: a chair, deputy chair, secretary, treasurer and additional board member. The board, together with three alternates and two auditors, shall be elected at the AGM for a term of one year. Elections shall be carried out by a written vote.
Art. 6
The association's financial year shall be based upon the timing of the 1st April
Art. 7
The treasurer shall keep the association's financial assets in a bank, or invest them as the AGM agrees.
Art. 8
The association's AGM is lawful if lawfully called, and shall be held in the first half of the year.
Art. 9
The agenda of the AGM shall be:
a) Minutes of the last AGM submitted for approval.
b) Report from the chair.
c) Audited accounts for the last financial year submitted for approval.
d) Proposals for amendments to the articles of association.
e) Election of a board, alternates and auditors.
f) New members and other business.
Art. 10
The board shall call a meeting if requested by at least five members, citing a reason.
Art. 11.
A general meeting of the members shall be regarded as lawful if called with at least two days' notice.
Art. 12. This articles may not be amended except by a lawful AGM, and with a majority vote of 2/3 in favour of the amendment.
